Terms & Conditions

These govern all our contracts for the sale of goods (“Goods” which expression includes spare parts and ancillaries) and services (the “Contract”). Save to the extent that we have agreed to the contrary in writing we only offer our Goods and services on the basis of the Conditions and all orders that purport to exclude them will be invitations to treat and any acceptance that purports to exclude them will be ineffective. We will accept changes to the Conditions if in writing and these cannot be inferred from a course of action.

  1. BASIS OF THE CONTRACT
    The Seller – Shuttleworth Medical Ltd carries on the business of the manufacture, supply and servicing of medical furniture and equipment. The Buyer – The entity who purchases from the Seller. Contract – Shall be governed by English law and the parties submit to the jurisdiction of the English courts.
  2. VALIDITY
    Unless previously withdrawn our tender is open for acceptance for the period stated therein, or when no period is stated within 30 days only after its date.
  3. ACCEPTANCE
    The acceptance of our tender must be accompanied by sufficient information to allow us to proceed with the order.
  4. LIMITS OF CONTRACT
    Our tender includes only such goods, accessories and services as are specified therein.
  5. DRAWINGS
    All descriptive and forwarding specifications, drawings, particulars with regard to size and weight, submitted with our tender are approximate only and shall not be binding. All samples, drawings, descriptive matter, specifications and advertising issued by the Seller and any descriptions or illustrations contained in the Seller’s catalogues are issued or published for the sole purpose of giving a reasonable description of the Goods described in them. They shall not form part of the Contract and this is not a sale by sample. The Seller will not be under obligation to supply any drawings unless agreed in writing. All drawings and other descriptive matter will remain the property of the Seller and must not be divulged to a third party. Copyright reserved to the Seller.
  6. TEST
    Our manufactures are carefully inspected and where practicable are submitted to standard tests at our works. We do not include any other tests whatsoever, unless otherwise agreed. All other tests would be charged for at extra cost.
  7. PERFORMANCE
    Any performance figures given by us are based upon experience and are such as we would expect to obtain on test. We shall be under no liability for damages for failure to attain such figures unless we are specifically guaranteed performance figures subject to recognised tolerances
  8. DELIVERY
    The time or date stated by us for the delivery is given and intended only as an estimate and is not essence of the contract unless otherwise stated in writing. We shall not be liable to make good any damages or loss whether arising directly/indirectly from delay in delivery and you would have no right to cancel the contract for delay in delivery unless the date of delivery is stated in writing to be guaranteed. Unless otherwise specified in our tender the price quoted includes delivery only and by any method of transport at our option. We shall not be responsible for unloading at the place to which the goods are delivered. When Delivery is requested to upper floors, lift access and additional personnel must be available.
  9. PACKAGING
    All Goods are packaged for domestic transportation via the Sellers own transport or prescribed carriers. The Buyer must notify the Seller in writing of any additional packaging requirements including packaging for container, air or sea freight prior to acceptance of the order. Additional packaging will be charged extra at cost.
  10. CARRIAGE CHARGES
    Delivery to UK Mainland is the Standard transport service. Delivery to Northern Ireland, any British Isle and export orders incur extra delivery costs. All export returns incur further cost. Additional charges may be applicable for deliveries made to an “end user” or other non “central store” location. This must be previously agreed in writing on a quotation and/or detailed on official order. Minimum order value of £500, see point 16 (Payment).
  11. DAMAGE IN TRANSIT
    When the price quoted includes delivery we will repair free of charge any goods in transit, provided the carriers and ourselves receive written notification to such damage within 3 days of delivery. All delivery notes must be signed by a responsible person and if goods are damaged in transit this must be stated on the delivery notes. Otherwise we would not be responsible for repair or replacement.
  12. VESTING
    The property in the goods and materials supplied under this contract shall remain in the vendor until the purchaser has made full payment and it is further agreed and declared that should any of the goods supplied under this contract be incorporated in any goods or equipment being manufactured in turn by the purchaser the title and property to such goods shall belong to the vendor until such payment has been made as before.
  1. GUARANTEE
    Products are guaranteed for a period of 3 years from date of delivery against manufacturing defects, apart from the following components which have 12 months warranty: Mechanical & electronic locks & keys, Gas struts, Rechargeable batteries, Linear & hydraulic actuators, Electronic components, Plastic components/Side panels, Castors, Drawer runners Provided that the Buyer has complied with its obligations hereunder and has subjected the Goods to reasonable use then if the Goods become defective due to failure of design or manufacture during the warranty period (specified by the Seller) then the Seller will either repair, supply a replacement part or replace such Goods or refund the price of such Goods at the pro rata Contract rate (at the Seller’s discretion but after consultation with the Buyer). Please kindly note all Shuttleworth products are manufactured by Medi-Plinth Equipment Ltd under the principals of ISO 13485:2016.
  2. ERECTION
    Where the contract provides for erection unless otherwise stated our tender includes the requisite skilled supervision of erection only. You shall provide suitable access to and possession of the site. Proper foundations ready to receive the plant as and when delivered, adequate lifting tackle, scaffolding, all other skilled and unskilled labour, joiners and builders work, suitable protection for the plant from time of delivery and all necessary facilities and adequate assistance for erection and test, including supplies of water, power, light, gas compressed air and other materials necessary for such tests, all of these to be supplied at your expense to enable erection to be carried out under our supervision.
  3. PRICE ESCALATION
    Quoted prices valid for six months from submission date based upon the current raw material rates and we reserve the right to modify our offer should increases occur following the six months in the interim periods between quotation, official purchase order and contract completion dates. In the event of dispute C.P.A. shall apply in line with B.E.A.M.A.
  4. PAYMENT
    Payment of the price for the Goods is due in GBP payable within 30 days of the invoice date or unless otherwise agreed in writing to be a different payment term for a specific tender. No payment shall be deemed to have been received until the Seller receives cleared funds. Payments for credit card orders will be authorised and actioned at the time of order. The Seller reserves the right to make additional charges for credit card sales providing the Buyer is notified at time of purchase. An administration charge of £15.00 will be made by the Seller to all orders with a net invoice value of less than £500 before carriage charges added unless otherwise agreed in writing. The Buyer shall make all payments due under the Contract in full without any deduction. If the Buyer fails to pay the Seller any sum due pursuant to the Contract, the Buyer shall be liable to pay interest to the Seller on such sum from the due date for payment at the annual rate of 8% accruing on a daily basis until payment is made, whether before or after any Judgment. The Seller also reserves the right to claim interest under the Late Payment of Commercial Debts (Interest) Act 1998. – A standard package & delivery charge of £15.00 will be added to all orders with a net invoice value of less than £500 before carriage charges added. All large items will be palletised and subject to a further delivery charge of 8% of the net order value, unless otherwise agreed in writing.
  5. RETURN OF GOODS
    Goods Ordered in Error The seller will accept return of Goods ordered in error provided by the buyer advises the seller, within 5 days of receipt of delivery. Returned goods must be unused, in original package. The buyer agrees to return the goods ordered in error to the seller, at the buyers risk and cost. The seller recommends that the buyer organise collection of the goods by the seller to reduce risk of damage (charges apply). A credit note will be issued following receipt and inspection of the goods by the seller, which will be subject to a 35% restocking charge of the net order value but this will be reduced by 10% if the goods are replaced by similar value. Costs incurred in collection will be charged at carriage cost. Faulty/Damaged Goods The buyer must advise the Seller of any goods that were delivered damaged/faulty within 5 days of receipt of delivery The seller will organise collection of returned goods at their own expense plus delivery of correct items. Returned goods must be stored properly and not used or damaged. Returned goods must be unused and in original packaging Goods that have been used will not be accepted by the Seller on grounds of Health & Safety.

Product Warranties
We have confidence in the quality and reliability of our products and offer a three year warranty across our range. This does not cover accidental damage or ‘wear & tear’ (more information is included at back of catalogue) Please note these select components are excluded from the three year warranty and are limited to a 12 month warranty:

Product Sizing

Dimensions are stated in millimetres (width x depth x height). Please ensure you are fully aware of the item size prior to ordering.

Keys & Locks
We offer additional/spare keys for all our locks. All locks should open/close easily and operate smoothly. If they do not, arrange those locks be checked immediately and have these replaced if required. Locks should be periodically lubricated with a dry lubricant, other than this no maintenance is required. Never use oil on our locks, as this will cause damage.

Laminates & Wood
We use flame retardant ‘High Pressure Laminate’ bonded to MDF. Edges are protected with 2mm ABS high impact edging tape. Both our laminated and melamine facing panels offer a level of resistance to water penetration during regular use. We only use water based adhesives and varnishes.

Stainless Steel
We use 304 stainless steel which is non-magnetic whilst resistant to oxidation and corrosion. Other grades of steel are available on request (316 for example). Note: Certain chemicals can still damage the surface of our stainless steel. Iodine can cause serious corrosion and should never be used as a cleaning agent.

Upholstery
We use identical upholstery vinyl as Medi-Plinth, their team has vast experience and has taken time to select the best quality vinyl available. Upholstery details can be found on Page 30.

Latex
All of our products are latex free

Paint
We only use lead-free epoxy/polyester powder paint. Paint is applied in booths to recycle any over-spray when possible. Alternative colours are available, this may incur a surcharge.

Castors
Suitable castors are selected to satisfy the anticipated product use. All castors have non-marking tyres (excludes select antistatic castors). Our anti-static castors feature a yellow indicator near the tyre. Castors will need regular cleaning to ensure a long life, no other maintenance is needed and no oils should be used on any castors. We advise all fittings are regularly checked and tightened as needed to ensure they are secure and safe for use Anti-static castors should have tyres cleaned periodically to remove any dirt/dust, ensuring good contact between the tyre and ground

Cleaning
The maintenance of high standards of cleanliness on all surfaces and equipment is a crucial factor in the prevention and control of infection. Whilst dust, dirt and moisture can harbour infection, the key risks are associated with contamination arising from contact with blood, body fluids, mucous membranes and damaged skin. In all cases surfaces must be thoroughly cleaned and disinfected in order to destroy pathogenic micro organisms.
